Terms of Service

In short: We do the tech work we agreed on. You pay the invoices on time. Either side can walk away with 30 days notice. We keep your data safe and your business running.

Who we are

UpTek Ops ("we," "us," "our") is a technology operations company based in Los Angeles, California. We provide managed IT, cybersecurity, cloud services, and digital presence (websites, SEO, hosting) to small and mid-size businesses.

These terms apply to all services we provide. By paying an invoice from UpTek Ops, you ("client," "you") agree to these terms.

What we provide

The specific services, deliverables, and timeline for your engagement are outlined in the invoice or proposal we send you. Common services include:

Payment

Invoices are sent via Stripe and are due upon receipt unless otherwise stated on the invoice. We accept credit/debit cards and ACH bank transfers.

Invoices unpaid after 15 days may be subject to service suspension. We will always reach out before taking any action.

Ownership and intellectual property

What you own

You own your content - text, images, logos, and branding you provide to us. Once a project is paid in full, you own the final deliverables (your website, designs, configurations) and can use them however you choose.

What we retain

We retain the right to use general knowledge, techniques, and non-proprietary tools developed during our work. We may reference the work in our portfolio (for example, listing your business as a client or showing a screenshot of your website) unless you ask us not to.

Confidentiality

We treat your business information, credentials, and data as confidential. We will not share it with third parties except as required to deliver services (for example, your domain registrar or hosting provider). This obligation continues after our engagement ends.

Data and security

We follow industry-standard security practices to protect your data. This includes:

If we become aware of a security incident affecting your data, we will notify you within 48 hours and work to resolve it.

Availability and support

For managed services, we monitor systems during business hours (Monday through Friday, 9 AM to 6 PM Pacific). Critical issues are addressed as quickly as possible. We are not a 24/7 operations center, but we make ourselves available for emergencies.

Response times depend on severity:

Third-party services

We may use third-party tools and platforms to deliver our services (Cloudflare, Google Workspace, Stripe, etc.). These services have their own terms and privacy policies. We select providers carefully and only share the minimum information needed.

Limitation of liability

We stand behind our work and will fix issues caused by our mistakes at no additional cost. However:

Ending the agreement

Either party can end this agreement with 30 days written notice (email is fine). When the agreement ends:

Changes to these terms

We may update these terms from time to time. Changes will be posted on this page with an updated effective date. For active clients, we will notify you of material changes by email at least 14 days before they take effect. Continued use of our services after a change means you accept the updated terms.

Governing law

This agreement is governed by the laws of the State of California. Any disputes will be resolved in Los Angeles County, California.
